It seems pretty clear that you have to see someone die and be aware 
of what's happening. Only three people in the CoMC class were able to 
see the thestrals (Harry, Neville, and an unnamed Slytherin who I 
think was Nott); surely more people would be able to see them if the 
only requirement was to see a dead body, for example, at a funeral. 
As for the being aware part: Harry didn't see the thestrals until 
this year, i.e., *after* he witnessed Cedric's death.
